1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of Reputify, a customer intelligence platform operated by Joyful Designs ("we", "us", or "our"). By creating an account, accessing, or using Reputify, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the service.

2. Description of Service

Reputify is a Software-as-a-Service (SaaS) platform that helps businesses aggregate, analyze, and act on customer feedback and reviews across multiple platforms. Our service includes, but is not limited to:

• Review aggregation: Centralized inbox for customer reviews from Google Business Profile (with additional platforms added over time)
• Analytics & insights: Sentiment analysis, rating trends, keyword tracking, and performance dashboards
• AI-powered features: Response suggestions, auto-categorization, and intelligent insights (where available in your plan)
• Multi-location management: Manage multiple business locations in one workspace
• Team collaboration: Multi-user accounts with role-based access (Owner, Manager, Member) on applicable plans
• Notifications & alerts: Email and in-app alerts for new reviews, low ratings, and priority events
• Integrations: Connections with third-party platforms subject to their respective terms and API availability

We reserve the right to modify, suspend, or discontinue any feature at any time. Feature availability may vary by subscription tier.

3. Use License

Subject to your compliance with these Terms and your subscription plan, we grant you a limited, non-exclusive, non-transferable license to access and use Reputify for your business purposes. Under this license you may not:

• Resell, sublicense, or redistribute the service or any part of it
• Reverse engineer, decompile, or attempt to extract the source code of our software
• Use the service to build a competing product or service
• Circumvent or disable any security, access control, or usage limits
• Use automated means (scraping, bots) to access the service without our written consent
• Remove or alter any copyright, trademark, or proprietary notices

4. User Accounts and Responsibilities

You must provide accurate, complete, and current information when creating an account. You are responsible for:

• Maintaining the confidentiality of your password and account credentials
• All activities that occur under your account
• Ensuring your use of the service complies with applicable laws and third-party platform terms (e.g., Google Business Profile)
• Obtaining necessary consents from your team members when adding them to your workspace

You must notify us immediately of any unauthorized access to your account.

5. Subscription, Billing, and Plans

Reputify offers tiered subscription plans (e.g., Starter, Growth, Scale) with different feature sets, location limits, and user limits. By subscribing, you agree to:

• Pay the fees associated with your chosen plan on a recurring basis (monthly or annually)
• Provide valid payment information and keep it updated
• Accept that prices and plan features may change with reasonable notice
• Understand that downgrades or cancellations may take effect at the end of the current billing period

Free trials, if offered, are subject to the terms communicated at signup. We may suspend or terminate service for non-payment.

6. Third-Party Integrations and Data

Reputify integrates with third-party platforms, starting with Google Business Profile. Additional platforms may be added over time. Your use of these integrations is subject to:

• The respective terms of service and API policies of each platform
• Your responsibility to maintain valid authorizations and API access
• Our right to discontinue or modify integrations due to API changes, policy violations, or business decisions

You retain ownership of your business data. By using Reputify, you grant us a license to process, store, and display your data as necessary to provide the service. See our Privacy Policy for details.

7. AI-Generated Content

Where Reputify provides AI-powered features (e.g., response suggestions, insights), such content is generated for assistance only. You are responsible for reviewing, editing, and approving any AI-generated content before publishing or using it. We do not guarantee the accuracy, appropriateness, or legal compliance of AI-generated output.

8. Prohibited Uses

You may not use Reputify:

• In violation of any applicable law, regulation, or third-party rights
• To transmit malware, spam, or harmful content
• To impersonate another person, business, or entity
• To manipulate reviews, ratings, or feedback in a fraudulent manner
• To harass, abuse, or harm others
• In any way that could impair, overload, or disrupt the service or our infrastructure

9. Intellectual Property

Reputify, its software, design, branding, and documentation are owned by Joyful Designs and protected by intellectual property laws. You do not acquire any ownership rights by using the service. Our trademarks and logos may not be used without our prior written consent.

10. Termination

You may cancel your account at any time through your account settings or by contacting us. We may suspend or terminate your account immediately, without prior notice, for:

• Violation of these Terms
• Non-payment of fees
• Conduct harmful to other users, us, or third parties
• Extended periods of inactivity (as defined in our policies)

Upon termination, your right to use the service ceases. We may retain your data for a limited period as required by law or our data retention policy. You may request export of your data before termination where feasible.

11. Limitation of Liability

To the maximum extent permitted by law, Reputify and Joyful Designs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use or inability to use the service. Our total liability for any claims arising from these Terms or the service shall not exceed the fees you paid to us in the twelve (12) months preceding the claim.

The service is provided "as is" and "as available." We do not warrant that the service will be uninterrupted, error-free, or free of harmful components.

12. Indemnification

You agree to indemnify and hold harmless Joyful Designs, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from your use of the service, your violation of these Terms, or your violation of any third-party rights.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the service after such changes constitutes acceptance of the revised Terms. If you do not agree, you must stop using the service and may cancel your account.
